Retained Recruitment and Search Tier 1 Terms and Conditions

Introduction 

Everest Group Limited [Everest] is retained to search, select and/or refer candidates for permanent and fixed term employment or independent contracting arrangements for an exclusive twelve (12) week period (from the date of signing this agreement) on the following terms and conditions.

Fees 

The fee that is payable by the client is 15% + GST. This fee is calculated on the base salary agreed on the commencement of the assignment. Where employment is offered on a fixed term basis for less than a year the fee will be pro-rated by twelve (12) to reflect each fixed term month.

Fees are invoiced in three stages:

  • A retaining fee of one third of 15% of agreed salary on the commencement of the assignment which will retain Everest's services for a period of 12 weeks active candidate sourcing. This fee is non-refundable under any circumstances

  • A short-list fee of one third of 15% of agreed salary, also non-refundable, payable upon the presentation to the client of a shortlist which in the reasonable opinion of Everest meets the agreed specification;

  • A completion fee of one third of 15% of agreed salary on an offer of employment to the preferred candidate.

  • Fees are payable regardless of whether the client knew of the applicant previously.

Included in the fees are a personality assessment, an ability test, a criminal check and two reference checks for the preferred candidate. Any other charges such as advertising, drug testing, medical assessments (agreed prior to expense) are invoiced at cost as they are incurred. An estimate of all additional costs is drawn up at the commencement of the assignment for acceptance by the client.

All monies due in accordance with our fee structure shall be paid by the client within seven days of the invoice date.

In the event that an applicant is rejected by the client or the applicant rejects an offer of employment, then the client subsequently offers employment (whether it is for the original role offered or a different role within the organisation or any other entity owned by the same Director) within twelve months of the date that the candidate CV was presented to client for review (“Initial Introduction Date”), the client shall pay a fee of 15% of the candidate's first year salary as outlined above.

In case of multiple appointments from our shortlist, or within 12 months of presentation of the shortlist, a fee for each additional appointment of 15% of the candidate's first year salary, unless agreed otherwise between the parties, is payable.

Cancellation 

If an assignment is cancelled by the client, or the client postpones or delays the assignment for a period greater than six weeks or appoints a candidate not introduced by Everest the next stage fee as above, becomes payable.

Guarantees 

In the unlikely event that the employment relationship is terminated in the first three (3) months from the date of commencement, a replacement guarantee is offered to the client. The guarantee is provided except for termination by way of redundancy, company closure, relocation or restructure.

To fulfil the guarantee above, Everest will make every reasonable endeavour to find a replacement, working on an “expenses only” basis (including advertising costs and other out-of-pocket expenses). No refund of our fees will be made. If a suitable replacement is not found within a six (6) week exclusive period, then a credit will be provided to the client and held on their account which can be used to offset any future fees incurred by the client.

If the preferred candidate declines an offer of employment, the recruitment assignment will recommence for a further six (6) week period, further candidates will be presented during this period.

If a suitable candidate is not appointed within the 12 week exclusive period, Everest will discuss the future of the assignment with the client to determine the approach going forward. If a decision is made between Everest and the client to not actively pursue further candidates then the assignment will be closed and no further fee will be payable.

Change of Scope 

If during the 12 week exclusive period the scope of the role changes, Everest reserves the right to alter the original assignment terms and fees.

Confidentiality 

An applicant's C.V. is provided in strict confidence to the client only for its information and on the basis that the contents are not disclosed to any other person without Everest's written consent and in particular that the client does not approach the applicant's current employer until the client has Everest's written agreement to do so.

Damages and Losses 

Everest shall not be liable to the client for any loss, damage, costs, claims, expense or compensation (whether direct, indirect or consequential) which may be suffered or incurred by the client arising from or in any way connected with Everest seeking an applicant for the client or from the failure of Everest to introduce any applicant, howsoever arising.

Any circumstances allegedly giving cause for complaint about an applicant or an invoice must be notified to Everest and confirmed in writing as soon as the cause of the alleged complaint arises.


Retained Recruitment and Search Tier 2 Terms of Trade

Candidate Introduction Terms of Trade

The fee that is payable by the client is 10% + GST. This fee is calculated on the base salary offered to the successful candidate. Where employment is offered on a fixed term basis for less than a year the fee will be pro-rated by twelve (12) to reflect each fixed term month.

One invoice will be issued, a fee of 10% of agreed salary will be payable on an offer of employment to the introduced candidate.

Fees are payable regardless of whether the client knew of the applicant previously.

Included in the fees are a personality assessment, an ability test, a criminal check and two reference checks for the preferred candidate. Any other charges such as drug testing, medical assessments (agreed prior to expense) are invoiced at cost as they are incurred.
